An agreement between the Company and the Buyer is only concluded when the Company has sent written order confirmation (including electronically), or when the Company has dispatched the Products covered by the order.

Offers from the Company which do not specify a particular acceptance period shall lapse if corresponding written acceptance from the Buyer has not reached the Company within 30 days of the offer being made.

Changes to or additions to an original agreement are not binding on the Company without prior written confirmation.

The Products are delivered Ex Works (Incoterms 2020) Albertslund or another location notified by the Company.

If it has been agreed that the Company is to assist the Buyer with transport, all costs associated with the transport shall be borne by the Buyer, and the transport shall take place at the Buyer’s risk. The Company may charge a separate fee for this assistance.

If the Buyer does not provide information about the method of transport, the Company may dispatch the Products using a method of transport selected by the Company.

The delivery date shall only apply provided that:

• The Buyer has been approved for credit,
• payment in advance has been received on time, or
• a letter of credit/other security has been received on time.

With the exception of delays resulting from Brexit, if the Company does not deliver at the agreed time, the Buyer may request delivery in writing and set a reasonable deadline:

• minimum 4 weeks for standard products
• minimum 6 weeks for special-order products

If delivery does not take place within this deadline, the Buyer may cancel the purchase and have any payment made in advance refunded. In addition, the Company shall not be liable for the delay.

The Company shall not be liable for delays resulting from Brexit, including customs and administrative matters.

All prices are exclusive of VAT and other duties, unless otherwise stated.

Minimum order: DKK 1,000 (excluding VAT and duties). Exemption: webshop orders.

If the price or product information on the website contains an error, and this should have been noticed, the information shall not apply. The Company will contact the Buyer as soon as possible.

Duties (tax, customs duty, etc.) introduced after the order confirmation shall be paid by the Buyer.

For prices in foreign currencies (not DKK/EUR):

• based on the ECB rate (base rate)
• fluctuations > ±2% entitle the Company to adjust the price
• the Buyer will be informed in writing

Packaging:
Not included in the price and will only be taken back if agreed.

Payment: 14 days from the invoice date.
Default interest: 2% per commenced month.

The Company may require advance payment if:

• credit insurance cannot be obtained
• or the creditworthiness deteriorates

The Buyer may not set off claims or withhold payment without the Company’s written consent.

The Company retains title until the full purchase price, including interest and costs, has been paid.

All technical information is indicative only and binding only if confirmed in writing.

Requirements from the Buyer are binding only if accepted in writing by the Company.

The Company may, without notice, change Products or supply alternative versions, provided that they do not differ materially.

All material belongs to the providing party and may not be:

• used for other purposes
• copied or shared
• published

without written consent.

The Company will, at its discretion:

• repair or
• replace defective products

Complaints:

• within 12 months of delivery
• and no later than 8 days after discovery

Liability does not cover:

• incorrect use
• lack of maintenance
• modifications without approval
• normal wear and tear
• custom design according to the Buyer’s instructions

Returns:

• only by agreement
• with a return number
• carriage paid by the Buyer

If no defect is found → the Buyer pays the costs.

The Buyer cannot claim anything other than repair/replacement.

The Company is not liable for:

• damage to property in the Buyer’s possession
• damage to products manufactured by the Buyer

The Buyer shall indemnify and hold the Company harmless against third-party claims.

Exception: gross negligence.

The Company is not liable for indirect losses, e.g.:

• data
• loss of business
• loss of profit
• goodwill

All claims must be submitted in writing without undue delay.

The Company is not liable for circumstances beyond its control, e.g.:

• war, unrest, terrorism
• fire
• regulatory requirements
• strike/lockout
• pandemics
• transport problems

The Buyer cannot claim compensation in these cases.

The Company is only liable in cases of gross negligence.

Compensation may amount to a maximum of:

• the product price (for free advice)
• the fee (for paid advice)

Determined under Danish law by arbitration in Copenhagen.

Debt collection may be used for claims ≤ DKK 100,000.

The Company may update the terms and conditions, which will be published on the website.
